Welcome to Drivix Solutions. These Terms of Service (“Terms”) govern your access to and use of our website, platform, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Drivix Solutions is not responsible for any loss or damage arising from your failure to secure your account.

2. Description of Services

Drivix Business OS provides an integrated platform designed for contractors and service-based businesses to:

Manage communications (calls, texts, emails, chat) in one place.
Track leads, customers, and their stages in the sales process.
Automate follow-ups, reminders, and customer notifications.
Generate, send, and track proposals, estimates, and invoices.
Accept online payments and integrate with payment processors.
Organize team calendars, schedules, and appointments.
Collect reviews and reputation management.
Access business statistics, analytics, and reporting dashboards.
Access the Services through both desktop and mobile applications.

Drivix Solutions may update, modify, or discontinue parts of the Services at any time, with or without notice.

3. Subscriptions, Billing, and Payments

3.1 Subscriptions

Access to certain features of the Services requires a paid subscription. Subscription terms, pricing, and available features are displayed at the time of purchase.

3.2 Billing and Payment

By purchasing a subscription, you authorize Drivix Solutions (or our third-party payment processor) to charge your provided payment method.
You agree to keep your billing information current, accurate, and complete.

3.3 Renewals

Subscriptions automatically renew at the end of each billing cycle unless canceled prior to renewal. Renewal fees will be charged to the most recent payment method on file.

3.4 Refunds

All payments are non-refundable except as required by law.
Certain promotional offers or money-back guarantees may be extended at Drivix Solutions’ discretion.

3.5 Taxes

You are responsible for any applicable sales, use, or similar taxes related to your subscription.

4. Customer Data

4.1 Ownership of Data

You retain full ownership of any data, content, or materials you upload, submit, or store within the Services (“Customer Data”).

4.2 License to Use Data

You grant Drivix Solutions a non-exclusive, worldwide, royalty-free license to host, process, and display your Customer Data solely for the purpose of providing the Services.

4.3 Data Responsibilities

You are solely responsible for the accuracy, legality, and appropriateness of your Customer Data.
You must not upload data that violates third-party rights, infringes intellectual property, or contains harmful content.

4.4 Data Retention

Upon account termination, we may retain Customer Data for a reasonable period for backup, audit, or legal purposes, after which it may be permanently deleted.

5. Proposals, Invoices, and Communications

5.1 Proposals and Invoices

The Services may generate proposals, estimates, invoices, and related documents on your behalf. You are responsible for ensuring accuracy, compliance, and enforceability of such documents.

5.2 Automated Messages

You may use the Services to send automated emails, texts, or calls to your leads and customers. You agree that:You have obtained any legally required consent from recipients.You will comply with anti-spam laws, consumer protection laws, and industry regulations.

5.3 Responsibility for Content

You are solely responsible for the content of all communications sent through the Services, whether automated or manual.

6. Third-Party Services and Integrations

The Services may integrate with third-party platforms such as QuickBooks, payment gateways, or communication carriers.
Drivix Solutions does not control and is not responsible for third-party services. Use of such services is governed by their own terms and policies.
You authorize Drivix Solutions to access and exchange data with third-party services as necessary to provide the Services.

7. Acceptable Use Policy

You agree not to use the Services in any way that:

Violates any applicable law or regulation.
Infringes on the rights of others, including intellectual property and privacy rights.
Involves spam, fraudulent activities, or deceptive practices.
Uploads malicious code, viruses, or attempts to disrupt the Services.
Resells, sublicenses, or attempts to copy or reverse engineer the Services.

8. Intellectual Property

All rights, title, and interest in the Services (including software, content, trademarks, and branding) remain with Drivix Solutions and its licensors.
You may not copy, distribute, modify, or create derivative works of the Services without written consent.

9. Service Availability and Support

We strive to provide high availability but do not guarantee uninterrupted or error-free operation.
Scheduled maintenance, upgrades, or outages may affect availability.
Support is available during posted business hours via the methods described on our website.

10. Limitation of Liability

To the fullest extent permitted by law, Drivix Solutions is not liable for indirect, incidental, or consequential damages arising from the use of the Services.
Our total liability for any claim will not exceed the amount paid by you to Drivix Solutions in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Drivix Solutions, its affiliates, and its employees from any claims, damages, liabilities, costs, or expenses arising from:

Your use of the Services.
Your violation of these Terms.
Your violation of any law or third-party rights.

12. Termination and Suspension

You may cancel your subscription at any time through your account settings.
Drivix Solutions may suspend or terminate your account if you violate these Terms, misuse the Services, or fail to pay fees.
Termination does not relieve you of outstanding payment obligations.

13. Confidentiality

Both parties agree to protect confidential information exchanged during the use of the Services.
Confidential information does not include information already public or independently developed.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Your State], without regard to conflicts of law principles.

Waiver: Failure to enforce any right does not waive future enforcement of that right.
